Terms of Service

1. Acceptance of Terms

By accessing or using CryptoGated ("the Platform", "we", "us"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Cookie Policy. These Terms constitute a legally binding agreement between you and CryptoGated.

We reserve the right to modify these Terms at any time. Continued use of the Platform after any modification constitutes acceptance of the revised Terms. Material changes will be communicated via notice on the Platform.

2. Eligibility

• You must be at least 18 years of age to use this Platform.
• You must have the legal capacity to enter into contracts in your jurisdiction.
• You represent and warrant that your use of the Platform complies with all applicable laws and regulations in your jurisdiction, including but not limited to laws governing cryptocurrency, digital assets, money transmission, and taxation.
• You are solely responsible for determining whether using this Platform is legal in your jurisdiction. We make no representation that the Platform is appropriate for use in all locations.

3. Platform Description

CryptoGated is a subscription management platform that enables:

• Hosts to create token-gated Telegram and Discord channels with Solana-based subscription plans.
• Subscribers to pay for access to those channels using SOL cryptocurrency.
• Automated management of Telegram and Discord channel membership via our bots.
• Referral programs, discount codes, and earnings dashboards.

We are a platform intermediary only. We do not create, curate, or endorse the content of any channel hosted on our platform. We are not a party to the subscription relationship between hosts and subscribers beyond facilitating payment processing and access control.

4. Accounts

• You are responsible for maintaining the security of your account credentials. We are not liable for any loss or damage arising from unauthorized access to your account due to your failure to keep credentials secure.
• You agree to provide accurate and complete information when registering and to keep it updated.
• You may not share accounts, impersonate others, or create multiple accounts to circumvent restrictions.
• We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraud, or pose a security risk, without prior notice and without liability.

5. Cryptocurrency Payments — CRITICAL TERMS

5.3 Price Volatility. Subscription prices are denominated in SOL. The fiat-equivalent value of SOL may fluctuate significantly. We assume no liability for any loss arising from cryptocurrency price volatility. You accept the inherent risks of using a volatile digital asset.

5.4 Transaction Fees. Solana network transaction fees ("gas") are charged by the Solana network, not by us. These fees are non-refundable and outside our control.

5.5 Incorrect Addresses. If you send SOL to an incorrect wallet address, those funds are permanently lost. We cannot recover funds sent to wrong addresses. Always double-check wallet addresses before sending.

5.6 Platform Fees. Hosts are charged a platform fee as configured by the platform operator. Platform fees are deducted from payout amounts. Platform fee rates may change with notice.

6. Wallets & Private Keys

6.1 Managed Wallets. If you use a "managed" wallet provided by the Platform, we generate and store your wallet's private key encrypted using AWS Key Management Service (KMS). While we implement industry-standard security measures:

• YOU ASSUME ALL RISK associated with storing funds in a managed wallet.
• We are not a bank, custodian, or financial institution. Managed wallet funds are not insured by any government deposit insurance scheme.
• We are not liable for any loss of funds in managed wallets due to hacking, security breaches, platform failure, or any other cause beyond our reasonable control.
• It is your responsibility to export your private key and maintain your own backup. We strongly recommend doing so.

6.2 Self-Custody Wallets. If you use self-custody mode (providing your own Solana wallet address):

• You retain full control and responsibility for your private keys.
• We never have access to your private keys in self-custody mode.
• Lost or forgotten private keys cannot be recovered by us.

6.3 Key Export. Private key export functionality is provided "as is" for your convenience. You are solely responsible for the secure storage of any exported private key. We assume no liability for any loss arising from improper handling of exported keys.

7. Host Obligations

If you use the Platform as a channel host ("Host"), you agree that:

• You are solely responsible for all content in your channel(s). We exercise no editorial control over host content and are not liable for it.
• You will not publish content that is illegal, fraudulent, harassing, defamatory, or that infringes third-party intellectual property rights.
• You will not use the Platform to facilitate money laundering, terrorist financing, fraud, or any other illegal activity.
• You are responsible for paying applicable taxes on earnings received through the Platform. We do not provide tax advice.
• You are responsible for obtaining any licenses or permissions required to deliver your content to subscribers.
• You agree to honor the subscription terms you set. Locking or deleting a channel after receiving subscription payments may result in account termination.

8. Referral Program

• Referral rewards are paid in SOL and subject to the payout terms set by the host and the Platform.
• We reserve the right to withhold, claw back, or cancel referral payouts that result from fraudulent activity, self-referrals, or abuse of the referral system.
• Referral payout rates and structures may be changed by hosts or the Platform at any time.
• You are responsible for taxes on any referral earnings you receive.

9. Prohibited Conduct

You agree not to:

• Violate any applicable law or regulation.
• Attempt to circumvent, hack, or exploit the Platform's security systems.
• Reverse engineer, scrape, or extract data from the Platform without authorization.
• Interfere with the Platform's operation or other users' use of the Platform.
• Use the Platform to transmit spam, malware, or other harmful content.
• Create fake subscriptions, manipulate referral statistics, or commit fraud.
• Impersonate the Platform, its staff, or other users.
• Use the Platform for any purpose related to illegal financial activity.

10. Third-Party Services

The Platform integrates with third-party services including Telegram, Discord, Solana, Helius, Google, and X (Twitter). Your use of those services is subject to their respective terms and policies. We are not responsible for:

• The availability, reliability, or performance of any third-party service.
• Any loss, damage, or disruption caused by a third-party service.
• Changes to third-party APIs that affect Platform functionality.
• Telegram's or Discord's decisions regarding group membership, account bans, or API access.
• Solana blockchain congestion, outages, hard forks, or any network-level events.

13. Indemnification

You agree to indemnify, defend, and hold harmless CryptoGated and its officers, directors, employees, agents, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) content you post or distribute via your channels; (d) your violation of any applicable law or third-party rights; or (e) your cryptocurrency transactions.

14. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Platform ceases immediately.
• Pending payouts may be withheld pending fraud review; legitimate payouts will be processed within a reasonable time.
• Managed wallet funds remain accessible via key export if provided before termination.
• We are not liable for any loss of access or funds resulting from account termination for cause.

You may close your account at any time by contacting support. Existing subscriptions will expire naturally; no refunds are provided.

15. Intellectual Property

The CryptoGated platform, including its branding, software, and user interface, is our intellectual property. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our express written permission.

You retain all rights to content in your channels. By using the Platform, you grant us a limited license to process and display information about your channels on our marketplace as necessary to provide the service.

16. Governing Law & Disputes

These Terms are governed by applicable law. Any disputes arising from these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration on an individual basis. You waive any right to participate in class action proceedings.

Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction where necessary to protect intellectual property or prevent imminent harm.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and CryptoGated regarding your use of the Platform and supersede all prior agreements.
